1.4 HMI RESERVES THE RIGHT TO CHANGE THE TERMS OF USE AND SERVICE FROM TIME TO TIME AT ITS SOLE DISCRETION. ALL CHANGES WILL BE POSTED ON THIS PAGE AND YOUR USE OF THIS WEBSITE AND/OR THE PLATFORMS AFTER SUCH CHANGES HAVE BEEN POSTED, WILL CONSTITUTE YOUR AGREEMENT TO THE MODIFIED TERMS.  YOU SHOULD READ THESE TERMS OF USE AND SERVICE CAREFULLY EACH TIME YOU VISIT THIS WEBSITE.

2. Account Registration and Access to Services

2.1 This Website is publicly accessible. However certain Services including medical consultations, scheduling of appointments and purchase of services will only be available after you have registered and opened an account with us. The specific terms and conditions relating to the different types of Services will apply accordingly.

2.2 You are responsible for all activities and actions conducted under your account including without limitation:

(i) ensuring that the information provided to us for the opening of your account, registration and generally during your use of the Platforms is true, accurate, up-to-date and complete;

(ii) keeping confidential your log in details, passwords and any other information to avoid unauthorised access to your account;

(iii) notifying us as soon as possible, if there is reason to believe that the security of your account has been compromised; and

(iv) taking all steps and actions necessary to ensure that your use of the Platforms and Services will be compliant with applicable laws and regulations.

2.3 If you are accessing the Platforms and/or using the Services on behalf of a minor, you are assuming the obligations of this Agreement as they relate to the minor and shall accept conditions which we in our absolute discretion, deem necessary to effect the Services.

2.4 We have the right to cancel, suspend or discontinue your account at any time if there is concern regarding security, illegality, breach or misinformation arising from your account.

3. Proprietary Right to Contents

3.1 The information and contents in this Website are owned by and/or licensed to HMI. The contents, including but not limited to the logos, software applications, artwork, photographs, graphics, documents, are protected by applicable intellectual property laws.

3.2 HMI and its third-party providers reserve all copyright, trademarks and other intellectual property rights in and to this Website and its contents. No part hereof may be reproduced, distributed, adapted, modified, republished, displayed, broadcast, hyperlinked, framed or transmitted in any manner or by any means or stored in an information retrieval system without the prior written permission of HMI and/or the relevant third-party proprietor(s).

4. Fee Payments

4.1 You shall pay the relevant fees and charges for the Services in accordance with the payment terms as may be made known to you in the Platforms or as determined by HMI (“the Fees”). Any charges and taxes payable because of the Services shall also be borne by you. The final determination of Fees payable by you shall be made by HMI and shall be considered final and conclusive.

4.2 If your health insurance coverage or employee benefits does not include or is not sufficient to satisfy the Fees in full, you shall be fully or partially responsible for payment of any outstanding amounts and HMI shall have the right to take appropriate actions to seek payment from you.

4.3 All Fees which have been paid in advance, are non-refundable save as permitted under applicable refund policies as determined by HMI.

4.4 The payment of Fees are handled and processed third-party payment processing agents.  At the current time, the third-party payment processing agents are STRIPE and GRABPAY and they will be responsible for handling and effecting your online payments including ensuring the security of the financial information and credit card information, provided in connection with the payment of Fees. When you furnish your credit card or GrabPay details including all other information required to effect payment of Fees, you do so on the page managed and controlled by the third-party payment processing agents and you are deemed to authorise charging your credit card account or GrabPay account as applicable, in relation to payment of the Fees. If your credit card or GrabPay account cannot be charged, HMI has the right to immediately terminate the transaction.

HMI will not have access to any credit card information or other financial information which may be provided during the use of this Website and the Platforms.

4.5 You agree to comply with any and all guidelines, notices, operating rules, and policies and instructions issued by the third-party payment processing agents and take all reasonable efforts to successfully fulfil your Fee payment obligations.  The third-party payment processing agents may from time to time carry out money laundering, terrorism financing, fraud or any other illegal activity checks before authorizing any payments.

4.6 HMI will not be responsible for any issues, malfunctions or breakdowns which may affect the timeliness and accuracy of the online payment process or any part thereof, or if payment instructions cannot be effected for any reason beyond our control.

5. Cancellations and Refunds

5.1 Unless as otherwise determined by HMI in its sole discretion, no refunds will be given for any payments made via this Website and/or the Platforms regardless of whether the relevant Services have been completed or have been provided by HMI.

6. Disclaimer of Warranties and Liability

6.1 This Website, the Platforms and all their contents are provided on an “as is” basis and without warranties of any kind. To the fullest extent permitted by law, HMI does not represent and hereby disclaims any warranty, whether express or implied:(

(i) as to the accuracy, adequacy, completeness correctness, reliability, non-infringement for any particular purpose of information and/or contents contained or referenced in this Website and/or the Platforms; and

(ii) that access to this Website, the Platforms or any of their contents will be provided uninterrupted or free from errors or that any identified defect will be corrected, or that this Website, the Platforms and/or their contents are free from any virus or other malicious, destructive or corrupting code, programme or macro.

6.2 HMI shall in no event be liable for any damages loss or expense including without limitation, direct, indirect, special, or consequential damage, or economic loss arising from or in connection with

(i) any access, use or the inability to access or use this Website or the Platforms or reliance on the contents of and/or any information in this Website or the Platforms;

(ii) any system, server or connection failure, error, omission, interruption, delay in transmission, or computer virus; and/or

(iii) any use of or access to any other website linked to this Website or Platforms.

7.1 This Website may contain hyperlinks to other websites which are not maintained by HMI and are provided as a convenience only. These links do not signify that HMI endorses such other websites or imply any kind of association or affiliation with those websites. HMI does not take responsibility for the content of any external website linked from this Website and/or the Platforms.

8. Right of Access

8.1 HMI reserves all rights to deny or restrict access to this Website to any particular person, or to block access from a particular Internet address to this Website, at any time, without ascribing any reasons whatsoever.

9. Feedback

9.1 By submitting any feedback to HMI, including but not limited to ideas or suggestions, you acknowledge and agree that:

(a) HMI is not under any obligation of confidentiality, express or implied, with respect to the feedback;

(b) HMI shall be free to use or disclose such feedback for any purpose, in any way;

 (c) your feedback automatically become the property of HMI without any obligation of HMI to you; and

(d) you are not entitled to any compensation, royalty fee or reimbursement of any kind from HMI under any circumstances.

10. Indemnity

10.1 You agree to indemnify and hold harmless HMI, our directors, officers, employees, affiliates, agents, contractors and licensors in respect of any claims arising out of:

(ii) your use of this Website and the Platforms;

(iii) your access or use of the Services or any contents;

(iv) any information and data provided by you; and/or

(vi) any action taken by us in connection with a suspected breach of the applicable terms and conditions of this Website and/or any Platforms.

11. Governing Law

11.1 These Terms of Use Service shall be governed and construed in accordance with laws of Singapore. Any dispute arising in connection with these Terms of Use and Service shall be referred to and finally resolved by the courts in Singapore.
